EULA for Semanticality™ Plugin

This document describes the license terms for the use of the Semanticality™ Plugin. The plugin is designed to improve the semantic structure and accessibility of WordPress Gutenberg blocks.

Preamble

This End-User License Agreement ("EULA") is a legally binding contract between you, the end-user ("Licensee"), and Barrierenlos℠ – Dmitry Dugarev, Mombacher Weg 26, 65936 Frankfurt am Main, Germany ("Licensor"), for the WordPress plugin "Semanticality™," including all associated media, documentation, and updates (together, the "Software").

GPL Compatibility

The plugin source code is released under the GNU General Public License Version 3 or later (GPL-3.0-or-later). The GPL governs your rights to use, study, modify, and share the code. This EULA does not restrict these GPL rights. It exclusively regulates contractual add-on services (e.g., updates, support, optional cloud services), trademark/asset usage, and the handling of license keys.

By installing, copying, or using the Software, you agree to this EULA. If you do not agree, you may still use the Software under the terms of the GPL but forfeit the contractual add-on services described in this EULA.

Definitions

  • Software: The WordPress plugin "Semanticality™" in source and object code form, including associated files and documentation.
  • GPL: The GNU General Public License v3.0 or later (GPL-3.0-or-later).
  • License Key: A unique code used to manage access to Updates, Support, and, if applicable, Cloud/API Services. The License Key does not restrict any GPL rights to the code.
  • Website: A single WordPress installation. The number included in your Plan refers to the simultaneous utilization of the contractual add-on services per Website.
    • Staging: Standard staging domains (e.g., staging.*, dev.*, test.*) are not counted towards the Plan limit.
    • Local: Local environments (e.g., localhost, *.local) do not require a License Key for the code; a valid key may be required for updates/support.
  • External Services: Optional cloud/API functions that are not part of the plugin code covered by the GPL.
  • Plans: Solo, Studio, Agency, Enterprise – define the number of simultaneous service activations (Updates/Support/Cloud).

Grant of License

2.1 GPL License for the Code: You receive the rights from the GPL-3.0-or-later for the plugin code (use, study, modification, sharing). These rights exist independently of a License Key.

2.2 Contractual Add-on Services: Additionally, subject to this EULA, we grant a non-exclusive, revocable right to access updates, support, and, if applicable, external services according to your Plan and during an active term. The License Key is solely for managing access to these services.

2.3 Transfer of Service Activation: You may move Service Activations (e.g., updates/support for a domain) within your Plan between Websites, as long as the simultaneous number does not exceed the Plan limit. A revocation/expiry of the Service Term does not terminate your GPL rights to the already installed code.

2.4 Duration/Updates: The right to use the installed code is indefinite due to the GPL. Access to Updates/Support/Cloud exists only during an active Service Term (generally 1 year, renewal/upgrade/downgrade possible via Freemius).

Scope of Use and Restrictions

3.1 Permitted (in addition to the GPL):

  • Accessing Updates/Support/Cloud within the scope of your Plan and using a valid License Key.

  • Moving a Service Activation between Websites within the Plan limits.

    3.2 Not Permitted (concerns Services, not the GPL Code):

  • Sharing, selling, or jointly using a License Key outside your organization or contrary to the Plan limits.

  • Bypassing technical measures for access control to Updates/Support/Cloud.

  • Abusive or automated use of External Services beyond the agreed quota.

    3.3 Important: Nothing in 3.2 prohibits you from exercising rights under the GPL on the code (including reverse engineering, modification, and sharing of the code under GPL).

Intellectual Property & Trademarks

4.1 Code: Unless otherwise marked, the plugin code is licensed under GPL-3.0-or-later.

4.2 Non-Code Assets: Trademarks, logos, product names, specific media/designs, marketing assets, and any separately provided templates/documents are not licensed under GPL.

4.3 Attribution: You may not misleadingly remove references to copyright and origin; modifications to the code must be clearly indicated.

Updates, Support & External Services

5.1 During an active Service Term and with a valid License Key, you receive updates and support according to the Plan. After expiration, the claim to new updates/support ceases; your installed code remains usable under GPL.

5.2 Access to optional External Services is tied to a valid License Key. These services are not part of the Software covered by the GPL and may be subject to separate terms of use/quotas.

5.3 Plan changes and renewals are processed via Freemius, Inc.

5.4 Support is limited to questions regarding the installation, configuration, and functionality of the Software, as well as answering fundamental questions about digital accessibility (e.g., WCAG/BFSG-compliant use). It expressly does not include individual project consulting, legal advice, general WordPress consulting, or the resolution of conflicts with third-party software.

5.5 Support Quotas:

  • Solo License: maximum 2 tickets per month
  • Studio License: maximum 5 tickets per month
  • Agency License: maximum 10 tickets per month

Unused tickets expire at the end of the month.

Term and Termination (Services)

6.1 This EULA becomes effective upon acceptance and applies to the contractual services (Updates/Support/Cloud).

6.2 You may terminate the service usage at any time; payments already made are governed by the terms of Freemius/us.

6.3 In the event of material breaches of this EULA, we may suspend or terminate access to services.

6.4 GPL Remains Unaffected: Termination of the Services does not affect your GPL rights to the code. You may continue to use, modify, and share copies of the code already received in accordance with the GPL.

Warranty & Liability

7.1 GPL Code: The code is provided "as is"; there are no warranties beyond those stated in the GPL.

7.2 Services: The liability regulations of our GTC apply to Updates/Support/Cloud.

7.3 Limitation of Liability: To the extent permitted by law, we are not liable for indirect, incidental, or consequential damages, lost profits, loss of data, or loss of use.

Governing Law, MoR & Jurisdiction

8.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

8.2 Where permissible, the exclusive place of jurisdiction is Frankfurt am Main.

8.3 Merchant of Record: Freemius, Inc. acts as the Merchant of Record for the acquisition of Service Terms/Plans.

Final Provisions

9.1 This EULA supplements the GPL (for the code) and our GTC (for services). In case of conflict, the following applies: GPL → Code, EULA/GTC → Services.

9.2 Should any provision of this EULA be or become invalid, the remainder shall remain valid (Severability Clause).

9.3 No Waiver: A failure to exercise a right shall not be considered a waiver.
